Terms of Service

By accessing, browsing, or using the JOAD website, client portal, or related digital services (collectively, the "Services"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Services.

JOAD Scientific Services Nigeria Ltd provides scientific, laboratory, analytical and testing services, including sample analysis, reporting and related consulting support. Information on our website and portal describes available services but does not form a separate service contract unless a specific quotation or agreement is executed between JOAD and the client.

Use of the website must be lawful, respectful of third-party rights, and consistent with these Terms. Prohibited activities include, without limitation:

• Unauthorized access to restricted areas of the site or portal.
• Attempting to compromise or circumvent website security or access controls.
• Introducing malware, viruses, or other harmful code.
• Interfering with the operation or availability of the Services.
• Using the Services for unlawful purposes or to submit false or misleading information.

When registering for a client account you agree to provide accurate information and to maintain the confidentiality of your login credentials. You are responsible for all activity that occurs under your account. If you suspect unauthorized access, notify JOAD promptly. JOAD may suspend or restrict accounts when reasonably necessary for security or legitimate business reasons.

Laboratory services are provided according to the applicable service request, quotation, agreement, sample requirements, and established laboratory procedures. Where a formal quotation or service agreement is issued, the terms of that document will govern the specific service engagement.

Clients are responsible for providing accurate sample information, properly identifying samples, and giving relevant instructions necessary for testing. Samples must be collected, packaged, labelled and transported in accordance with applicable instructions and safety requirements. JOAD may decline, reject, or delay testing where a sample is unsuitable, insufficient, compromised, unsafe to handle, or otherwise does not meet required criteria.

Sample tracking information made available through the client portal is provided to assist clients in monitoring the progress of services. Tracking data is indicative and does not constitute a promise of specific completion times unless expressly agreed in writing.

Reports are issued based on the tests and analyses performed. Results must be interpreted in the context of the relevant test methods and service scope. Clients must not alter or misrepresent laboratory reports; modified reports should not be presented as official JOAD documents. Unless JOAD has expressly provided professional advice as part of a service, test results do not constitute medical, legal, engineering or other specialist advice.

Fees for services are set out in quotations or invoices issued by JOAD. Quotations are valid only for the period specified in the quotation (if any). Payment terms will be described on invoices or in service agreements. Additional charges may apply if the scope of work changes from the originally agreed requirements. JOAD will rely on payment confirmation from the relevant payment provider where applicable.

Cancellation and refund eligibility depends on the stage of service, work already performed, third-party costs incurred, and the applicable quotation or agreement. JOAD will consider cancellation and refund requests on a case-by-case basis in accordance with applicable contractual terms and legal requirements.

All content on the JOAD website, including branding, logos, design, text, graphics and software, is the intellectual property of JOAD or its licensors. Users may not reproduce, distribute, or commercially exploit JOAD intellectual property without prior written permission.

Clients are responsible for the content and accuracy of materials they submit to JOAD. By submitting content, clients confirm they have the necessary rights and authority to provide such information and grant JOAD the right to use it for the purpose of providing the requested services.

JOAD will treat confidential client and laboratory information with appropriate safeguards consistent with applicable law and contractual obligations. Confidential information may be disclosed where required by law or as necessary to perform the services, subject to confidentiality safeguards where appropriate.

The website may contain links or references to third-party sites or services. JOAD is not responsible for third-party content, policies, or practices. Users should review any applicable third-party terms and privacy policies before using those services.

JOAD aims to provide reliable access to the website and portal but cannot guarantee uninterrupted or error-free operation. Access may be affected by maintenance, upgrades, connectivity issues, or events outside JOAD's control.

To the extent permitted by applicable law, information provided through the website and portal is on an "as is" basis and JOAD disclaims certain warranties to the extent allowed by law. This does not affect any non-excludable statutory rights.

Except as required by law, JOAD's liability to users is limited to direct losses arising from proven breach of these Terms and subject to applicable legal limits. JOAD is not liable for indirect, consequential, special or punitive damages to the extent permitted by law. Nothing in these Terms shall exclude or limit liability for death or personal injury resulting from JOAD's negligence or for any liability that cannot lawfully be excluded.

You agree to indemnify and hold JOAD harmless from any claims, losses or liabilities that arise from your use of the Services, violation of these Terms, or your breach of any representations or obligations set out in these Terms, to the extent permitted by applicable law.

JOAD may suspend or terminate access to accounts or Services where reasonably necessary for security, legal compliance, or legitimate business reasons. Termination will not relieve users of outstanding payment obligations or other accrued liabilities.

JOAD may update these Terms from time to time. Updated Terms will be posted on the website and will take effect when published. Continued use of the Services after changes indicates acceptance of the revised Terms.

These Terms are governed by the laws of the Federal Republic of Nigeria, subject to any mandatory legal provisions that may apply. Where disputes arise, parties should consider the dispute resolution provisions below.

Parties should first seek to resolve disputes amicably by direct discussion. If a dispute cannot be resolved by negotiation, parties may pursue other remedies available under law. Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction where necessary.
